These Terms & Conditions govern access to and use of the FerrumX website at https://ferrumx.com/ and, where incorporated into a quotation, order confirmation, sales contract, or other written agreement, the supply of FerrumX products.

Please read these Terms carefully before using this website or placing an order.

1. About FerrumX

“FerrumX,” “we,” “us,” and “our” refer to the FerrumX contracting entity identified in the applicable quotation, pro forma invoice, order confirmation, sales contract, or commercial invoice.

FerrumX supplies silicon carbide, nitride materials, ferroalloys, refractory products, silicon carbide components, and related industrial materials and services.

The website is intended primarily for commercial, industrial, and professional users. It is not intended as a consumer retail website.

2. Acceptance of These Terms

By accessing or using this website, you agree to these Terms & Conditions and our Privacy Policy.

If you submit an inquiry, request a quotation, place an order, or enter into a supply agreement with FerrumX, additional commercial and technical terms may apply.

If you do not agree with these Terms, you should discontinue use of the website.

3. Order of Precedence

In the event of a conflict between documents, the following order of precedence applies unless otherwise agreed in writing:

1. A signed sales contract or technical agreement
2. FerrumX’s written order confirmation
3. FerrumX’s final quotation or pro forma invoice
4. These Terms & Conditions
5. General information published on the website

Specifications, drawings, test methods, warranties, delivery terms, and other requirements are binding only when expressly accepted by FerrumX in writing.

Terms appearing in a buyer’s purchase order or other document do not modify FerrumX’s terms unless FerrumX expressly accepts those changes in writing.

4. Website Information

We make reasonable efforts to keep website information accurate and current. However, website content is provided for general information and preliminary product evaluation only.

Product descriptions, photographs, diagrams, application examples, dimensions, chemical compositions, physical properties, production capacities, and other information may be updated or corrected without prior notice.

Website content does not constitute:

• A binding quotation
• A guaranteed specification
• Engineering or safety advice
• A warranty of fitness for a particular application
• An offer capable of automatic acceptance

Customers should obtain and review the applicable quotation, technical data sheet, safety data sheet, certificate of analysis, drawing, sample, and written technical agreement before purchasing or using a product.

5. Product Specifications and Natural Variation

The specifications and performance figures shown on this website generally represent typical, target, nominal, or reference values unless expressly identified as guaranteed limits.

Industrial minerals, refractory materials, ferroalloys, powders, grains, and manufactured ceramic products may exhibit reasonable differences between production batches due to raw-material characteristics, production conditions, sampling methods, and test methods.

Binding chemical, physical, dimensional, particle-size, packaging, testing, and performance requirements must be stated in the applicable order confirmation or technical agreement.

Unless otherwise agreed in writing:

• Test results are based on FerrumX’s standard sampling and testing procedures
• Minor variations that do not materially affect agreed use are not defects
• Photographs and samples illustrate general appearance and do not guarantee exact color, texture, grain shape, or visual uniformity
• A pre-production sample does not guarantee that every unit or batch will be visually identical
• Test results produced by different laboratories or methods may vary

6. Customer Application and Technical Responsibility

The customer is responsible for determining whether a product is suitable for its intended process, equipment, operating conditions, and regulatory requirements.

Product performance may be affected by factors outside FerrumX’s control, including:

• Furnace design and operating conditions
• Temperature and atmosphere
• Installation and curing procedures
• Raw-material interaction
• Storage and handling
• Equipment condition
• Process parameters
• Operator practices
• Maintenance procedures

Any application guidance provided by FerrumX is based on the information made available by the customer and does not replace the customer’s own testing, engineering assessment, risk assessment, or professional judgment.

The customer must disclose material application requirements, operating conditions, applicable standards, and safety requirements before ordering.

7. Quotations

Unless otherwise stated, quotations:

• Are valid only for the period stated in the quotation
• Are based on the quantities, specifications, packaging, destination, exchange rates, freight conditions, and other information available when issued
• May be revised if those assumptions change
• Do not constitute acceptance of an order
• Are subject to production capacity, raw-material availability, compliance review, and credit approval

Prices exclude taxes, duties, customs charges, inspection fees, banking charges, insurance, and transportation costs unless expressly included.

8. Orders and Order Acceptance

An order becomes binding only when FerrumX issues written acceptance, an order confirmation, a pro forma invoice accepted by the customer, or a signed sales contract.

FerrumX may reject or request changes to an order where:

• Product requirements are incomplete or technically unclear
• The requested application presents an unacceptable safety or compliance risk
• Materials or production capacity are unavailable
• Payment or credit requirements are not satisfied
• The order may violate applicable law, sanctions, or export-control requirements

Changes or cancellations requested after acceptance require FerrumX’s written approval and may be subject to costs already incurred, including raw materials, tooling, testing, packaging, production, storage, and administrative expenses.

Custom-made, processed, packaged, or specification-specific products may not be cancelled or returned after production has started unless FerrumX agrees otherwise in writing.

9. Prices and Payment

Prices and payment terms are those stated in the applicable quotation, pro forma invoice, order confirmation, or sales contract.

Unless otherwise agreed:

• Payments must be made in the stated currency
• The customer is responsible for its bank charges and intermediary-bank charges
• FerrumX is not required to begin production or shipment until the required payment, deposit, letter of credit, or other security has been received and verified
• FerrumX may suspend performance if a payment is overdue or if reasonable concerns arise regarding the customer’s ability to pay
• The customer may not withhold, deduct, or set off amounts without FerrumX’s written agreement or a final legally binding decision

Ownership of products may remain with the applicable FerrumX selling entity until full payment has been received, to the extent permitted by applicable law. Transfer of risk is determined separately under the agreed Incoterm.

10. Delivery and Incoterms

Delivery dates are estimates unless expressly guaranteed in a signed agreement.

The applicable delivery term must be stated using an agreed Incoterm. References to EXW, FOB, CFR, CIF, or another Incoterm mean the relevant rule in Incoterms® 2020, unless otherwise stated.

Delivery obligations, cost allocation, customs responsibilities, insurance obligations, and transfer of risk are determined by the agreed Incoterm.

FerrumX is not responsible for delays caused by carriers, ports, customs authorities, inspections, vessel schedules, congestion, weather, government action, documentation requested late by the customer, or other circumstances outside FerrumX’s reasonable control.

Partial shipments may be made where commercially reasonable unless prohibited by the applicable order confirmation.

11. Import, Export and Regulatory Compliance

Each party is responsible for the licenses, permits, declarations, and regulatory obligations allocated to it under the applicable agreement and Incoterm.

The customer is responsible for confirming that products may be lawfully imported, possessed, processed, resold, and used in the destination country.

The customer must not purchase, export, re-export, transfer, or use FerrumX products in violation of applicable:

• Export-control laws
• Economic sanctions
• Customs regulations
• Anti-bribery and anti-corruption laws
• Environmental, health, and safety regulations

FerrumX may suspend or cancel a transaction where reasonably necessary to comply with applicable law or a binding governmental requirement.

12. Packaging, Storage and Handling

Products will be packaged as stated in the order confirmation or according to FerrumX’s standard export packaging practices.

The customer must inspect packaging promptly upon delivery and store and handle products in accordance with applicable product documentation and good industrial practice.

The customer is responsible for protecting products against moisture, contamination, impact, improper stacking, excessive storage time, and unsuitable environmental conditions after risk has transferred.

FerrumX is not responsible for deterioration or damage caused by improper transportation, unloading, storage, mixing, installation, curing, use, or maintenance after transfer of risk.

13. Inspection and Claims

The customer should inspect the shipment promptly after delivery for:

• Quantity
• Packaging condition
• Visible transit damage
• Product identity
• Apparent non-conformity

Any claim must be submitted in writing within the period stated in the applicable sales contract or order confirmation. If no period is stated, the customer must notify FerrumX promptly after discovering the issue and before the product is processed, mixed, installed, resold, or otherwise altered.

A claim should include:

• Contract and invoice number
• Product and batch number
• Quantity affected
• Photographs and packaging information
• Relevant test reports
• Storage and handling records
• A clear description of the alleged non-conformity

The customer must preserve the affected product and packaging and provide FerrumX a reasonable opportunity to inspect, sample, or arrange independent testing.

Use, processing, mixing, installation, or resale of allegedly non-conforming goods without preserving reasonable evidence may limit FerrumX’s ability to investigate the claim.

14. Limited Product Warranty

FerrumX warrants that, at the time risk transfers, products will materially conform to the specifications expressly agreed in the applicable order confirmation or technical agreement.

This warranty does not cover problems caused by:

• Normal permitted variation
• Improper storage or handling
• Incorrect installation, curing, processing, or use
• Use outside the agreed technical scope
• Customer-supplied specifications or materials
• Modification or mixing after delivery
• Abnormal equipment or operating conditions
• Ordinary wear, corrosion, erosion, thermal cycling, or consumption
• Failure to follow applicable technical or safety instructions

No warranty of merchantability, fitness for a particular purpose, service life, production output, or process result applies unless expressly provided in a signed agreement and permitted by applicable law.

15. Remedies for Non-Conforming Products

If FerrumX confirms that a product failed to meet an expressly agreed specification, FerrumX may, at its reasonable option:

• Replace the affected product
• Repair the product where appropriate
• Reprocess or rework it
• Issue a credit
• Refund the price paid for the confirmed non-conforming quantity

These remedies are subject to the applicable contract and mandatory law.

FerrumX is not responsible for removal, shutdown, reinstallation, production loss, third-party processing, or other consequential costs unless expressly agreed in writing.

Products may not be returned without FerrumX’s prior written authorization and return instructions.

16. Limitation of Liability

To the maximum extent permitted by applicable law, FerrumX will not be liable for:

• Loss of production
• Loss of profit, revenue, contracts, or business opportunity
• Loss of use
• Plant shutdown
• Product recall costs
• Damage to other materials or equipment
• Indirect, incidental, special, exemplary, or consequential loss

Unless otherwise stated in a signed agreement or required by mandatory law, FerrumX’s total liability arising from a product, order, or related claim will not exceed the amount paid to FerrumX for the specific product quantity giving rise to that claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

17. Force Majeure

Neither party will be liable for delay or failure caused by events beyond its reasonable control, including:

• Natural disasters
• Fire, flood, earthquake, or severe weather
• Epidemic or public-health emergency
• War, terrorism, civil disturbance, or sanctions
• Government restrictions or changes in law
• Power, fuel, or raw-material shortages
• Labor disputes
• Equipment breakdown not caused by a failure to use reasonable care
• Port closure, transportation interruption, or carrier delay
• Cyberattack or failure of essential communication systems

The affected party must notify the other party within a reasonable time. Performance deadlines may be extended for the duration and reasonable consequences of the event.

18. Intellectual Property

Unless otherwise agreed in writing, all rights in this website and its content—including text, photographs, videos, graphics, trademarks, product names, drawings, technical data, layouts, and downloadable materials—belong to FerrumX or its licensors.

Website content may be viewed or downloaded for legitimate internal purchasing evaluation. It may not be copied, republished, modified, sold, distributed, reverse engineered, or used to create misleading or competing materials without written permission.

Providing a quotation, drawing, sample, formula, test report, or technical document does not transfer intellectual-property rights.

Customer trademarks, drawings, and confidential specifications remain subject to their respective ownership rights.

19. Confidentiality

Each party should protect non-public commercial and technical information received from the other party and use it only for evaluating, performing, or supporting the relevant business relationship.

Confidential information does not include information that:

• Is publicly available without breach
• Was lawfully known before disclosure
• Is independently developed
• Is lawfully received from another source
• Must be disclosed by law or binding authority

A separate confidentiality or non-disclosure agreement will take precedence where applicable.

20. Website Availability and Security

FerrumX does not guarantee that the website will always be available, uninterrupted, secure, or free from errors or harmful components.

We may change, suspend, restrict, or discontinue any part of the website without notice.

Users must not:

• Attempt unauthorized access
• Interfere with website operation
• Introduce malicious code
• Scrape or extract content at an unreasonable scale
• Misrepresent their identity
• Use the website for unlawful, fraudulent, or harmful activity

21. Third-Party Links

The website may contain links to third-party websites or services. Such links are provided for convenience and do not constitute endorsement.

FerrumX does not control and is not responsible for third-party content, availability, security, contractual terms, or privacy practices.

23. Governing Law and Disputes

These Terms are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

Unless a different dispute-resolution mechanism is stated in a signed sales contract, disputes arising from these Terms, the website, or the supply of products will be submitted to the competent courts in Henan Province, China.

Before beginning formal proceedings, the parties should attempt in good faith to resolve the dispute through commercial negotiation.

24. Severability and Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect.

A failure or delay in enforcing a right does not waive that right.

25. Changes to These Terms

FerrumX may update these Terms periodically. The revised version will be published on this page with a new “Last Updated” date.

Changes to website terms do not retroactively modify an already accepted order or signed sales contract unless both parties agree in writing.
